We grant you a limited, non-exclusive, non-transferable, and revocable license to access and view the videos and content for your personal, non-commercial use only. You may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or exploit any content on this site for any commercial purpose without the express written consent of Matchbest Software.

3. Content Disclaimer & User Responsibilities

3.1 "As-Is" Provision

THE CONTENT IS PROVIDED "AS-IS" AND "AS AVAILABLE." While we strive for quality, Matchbest Software makes no representations or warranties of any kind, express or implied, regarding the accuracy, quality, legality, or reliability of the AI-generated outputs.

3.2 No Legal or Financial Advice

The AI-generated advertisements and micro-dramas are for demonstration and entertainment purposes only. They do not constitute professional, legal, or financial advice.

3.3 Independent Review

AI models may produce unintended results, including visual artifacts, inaccurate depictions, or content that inadvertently resembles existing copyrighted works or trademarks. You acknowledge that you must independently review all AI-generated content before using it for any business or commercial purpose.

4. Digital Media Content Regulation (DMRC) - Content Usage Terms

1. No Unauthorized Use Without Permission

Under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, all AI-generated content on Xelta (videos, micro-dramas, advertisements) is protected digital media. You may not use, copy, reproduce, download, or redistribute any content without explicit written permission from Matchbest Software.

2. No AI Training or Scraping

As per the Digital Personal Data Protection Act, 2023 and IT Rules, 2021, you are strictly prohibited from using any Xelta content to train, fine-tune, or develop artificial intelligence or machine learning models, or to engage in any form of web scraping, data mining, or automated content extraction.

3. No Derivative Works or Commercial Use

In compliance with the Indian Copyright Act, 1957, you may not modify, remix, create derivative works, or commercially exploit any Xelta content (including resale, licensing, or broadcast) without a separate written commercial license from Matchbest Software.

4. Violation Consequences

Any unauthorized use of Xelta content constitutes a violation of the IT Rules, 2021 andCopyright Act, 1957, and shall result in legal action, including but not limited to claims for damages, account termination, and reporting to appropriate regulatory authorities.

5. Prohibited Uses (Your Conduct)

Because AI video technology can be used to create misinformation or infringe on rights, you agree NOT to use our Service (or any content downloaded from it) to:

  • Create Deepfakes or Misleading Content: Generate, promote, or distribute content that falsely depicts real individuals ("deepfakes") with the intent to deceive, harass, or commit fraud.
  • Violate Personality Rights: Use any AI tool to clone voices, replicate likenesses, or create digital replicas of real people (including celebrities, politicians, or private citizens) without their explicit written consent.
  • Infringe Intellectual Property: Use our content to train your own AI or machine learning models, data scrape, or reverse engineer our assets.
  • Illegal Content: Generate child sexual abuse material (CSAM), violent extremism content, or any material that violates applicable laws.

6. User Submissions & Feedback

If you send us comments, suggestions, or ideas regarding our videos or services ("Feedback"):

  • License Grant: You grant Matchbest Software a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into our operations without any compensation to you.
  • No Confidentiality: Any Feedback you provide is non-confidential.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, MATCHBEST SOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

7.2 Limitation of Liability

IN NO EVENT SHALL MATCHBEST SOFTWARE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OR INABILITY TO USE THE AI-GENERATED CONTENT.

7.3 Maximum Liability

To the extent liability cannot be excluded, our total aggregate liability to you shall not exceed One Hundred Indian Rupees (₹100) or the equivalent, acknowledging the free nature of the information provided.

8. Indemnification

You agree to defend, indemnify, and hold harmless Matchbest Software and its affiliates from and against any and all claims, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  1. Your misuse of the AI videos.
  2. Your violation of any third-party rights (including copyright, trademark, or privacy rights) by using our content as a basis for your own commercial projects.
  3. Your violation of these Terms.

9. Third-Party Links & Tools

Our website may link to third-party AI generation tools. We do not endorse or control these third parties.

  • Disclaimer: Matchbest Software is not responsible for the privacy practices or terms of service of third-party AI tools.
  • No Agency: No joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to the Website immediately, without notice, for any violation of these Terms, particularly the Prohibited Uses outlined in Section 4.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

  • Jurisdiction: Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts of Gurugram, Haryana.
  • Arbitration: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Gurugram.
